Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and HanoLab (“HanoLab”, “we”, “us”) governing your access to and use of the HanoLab website, applications, APIs, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use HanoLab. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information during registration and to keep it current.

2. The Service

HanoLab provides AI-powered tools for music generation, voice conversion (RVC), stem separation, mastering, and related audio processing. Outputs are generated by machine learning models and may contain artifacts, inaccuracies, or unexpected content. You are responsible for reviewing outputs before any public or commercial use.

3. Acceptable Use

You agree not to use the Service to:

• Create deepfakes, impersonations, or voice clones of real people without their explicit consent;
• Generate content that infringes copyrights, trademarks, publicity rights, or other IP;
• Produce defamatory, harassing, sexually explicit involving minors, or otherwise unlawful content;
• Reverse engineer, scrape, or attempt to extract model weights or training data;
• Resell or redistribute raw API access, model checkpoints, or bulk outputs without a written agreement;
• Interfere with, overload, or abuse the Service’s infrastructure.

4. User Content & Ownership

You retain ownership of the audio, lyrics, prompts, and reference files you upload (“Inputs”) and, to the extent permitted by law, the outputs generated from them (“Outputs”). You grant HanoLab a limited, worldwide, royalty-free license to process your Inputs and Outputs solely as required to operate, secure, and improve the Service. We do not use your Inputs or Outputs to train foundation models without your explicit opt-in.

5. Commercial Use

Paid plans grant a commercial license for Outputs generated while the plan is active, subject to your compliance with these Terms. Free-tier Outputs are for personal and evaluation use only. HanoLab reserves the right to reclaim commercial rights for accounts that violate these Terms or chargeback their subscriptions.

6. Subscriptions, Billing & Refunds

Paid subscriptions are billed in advance on a recurring basis through our payment processor (Creem). Fees are non-refundable except where required by law. You may cancel at any time from your account dashboard; cancellation takes effect at the end of the current billing period. We may change pricing with at least 30 days’ notice, and the new rate applies to your next renewal.

7. Third-Party Services

The Service relies on third-party service providers for hosting, storage, compute, authentication, and payment processing. Your use of the Service is also subject to the applicable terms of those providers. We are not responsible for third-party outages, service interruptions, or policy changes outside our reasonable control.

8. Termination

We may suspend or terminate your account at any time for a material breach of these Terms, suspected fraud, or abuse. You may terminate your account at any time by deleting it from your account settings. Upon termination, your right to use the Service ends immediately and we may delete your stored content after a reasonable grace period.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HANOLAB DOES NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, ORIGINAL, OR FREE OF THIRD-PARTY CLAIMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANOLAB’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

11. Indemnification

You agree to indemnify and hold HanoLab harmless from any claims, damages, or expenses arising from your Inputs, your Outputs, your use of the Service, or your violation of these Terms or applicable law.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
